Governance Officer

 

Description:

  • Develop Corporate Governance Guidelines that should be followed in the organization.
  • Enhance Governance awareness among the company stakeholders and make sure to introduce a robust governance culture
  • Provide full board support to In House entities, including creation of agendas, collation and distribution of board packs and liaising with relevant business directors, management of board meetings including, producing detailed board minutes, distribution of board minutes, arranging for signature and carrying out any post-meeting actions as required.
  • Coordinate with the administration team and IT to ensure that either fiscal meetings are well prepared regarding greeting, logistics, and other required preparations, or online meetings will be conducted smoothly and accessibility is in place.
  • AGM and EGM management, including not limited to Meeting calls, agenda creation, distribution, regulators
  • Maintenance of the due diligence documentation on existing directors and shareholders of In-House entities and obtaining due diligence documentation for new directors and shareholders.
  • Dealing with correspondence and administrative matters from external service providers.
  • Assist with file reviews of In-House entities.
  • Assist Management with inquiries from employees, business managers, and internal and external auditors by providing timely information and guidance.
  • Offering advice and guidance on best practice.
  • Taking the lead for governance compliance across the organization and pro-actively challenging non-adherence
  • Provide guidance and support as required to the Executive and Board on the General Rules, Board Code of Conduct and Practices, Board Handbook, and Committee Terms of Reference.
  • Devolve investor relationship guidelines and update their information on a regular basis
  • Review all announcements to align with regulatory rules.
  • Worked as Corporate Secretary for the company
  • Ensure the evaluation of board performance on a yearly basis
